Name Restrictions: All companies name will end with Limited or LTD or Public Limited liability or PLC. Anything identical or similar to the name of a company already incorporated or reserved; anything that in the opinion of the Registrar of Companies is offensive. The following words require special consent: Bank, Building Society, British, National, International, Group, Holding, Chamber of Commerce, and any word that may indicate connection with Royalty or Government. Another company or trader may object if the name confuses the public as to the identity of the party using it, or is in some other way in breach of the complainant's legal rights.

Memorandum & Articles of Association: These are the rules and regulations that form the legal basis for the conduct of a company both with third parties and amongst their own shareholders and directors. The Memorandum of Association must state the name of the company and whether the registered office is situated in England, Scotland, Wales or Northern Ireland. They include the amount of the authorised share capital, the classes of shares and the number of shares that are to be registered. The Articles of Association govern the internal affairs of the company.

Directors A private company must have a minimum of one director, it is no longer obligatory to nominate a secretary. At least one person must be involved. From 1 October 2008 all companies whether private or public must have at least one director who is a natural person i.e. an individual, and who is at least 16 years old. The directors, as officers of the company must act responsibly in good faith and in the interests of the shareholders of the company.

Company Secretary The company secretary has the responsibility of ensuring that the statutory records of the company are up-to-date and that that all the necessary returns and statutory requirements are completed on time, signed and deposited with Companies House on an annual basis.

Authorised and Issued Share Capital: Private Limited Companies have a minimum authorised share capital of £ 1 or its currency equivalent. The minimum issued capital is one share, but additional capital is usually issued to reflect the stability and strength of the company Registered Office: The registered office is the place where the company's statutory records are maintained, available for inspection and is the address where documents can be served if necessary. It need not be where the company will carry out its business, but every company registered in the United Kingdom must have its registered office in the United Kingdom.

Audit and Annual Accounts: All UK companies are required to file accounts prepared in statutory form with the Companies House and the HM Revenue and Customs whether trading or not. Failure to file accounts on time will result in penalty being imposed. These Accounts needs to be filed 9 months after the accounting period end which is 12 months from the date of incorporation with the companies house and you will have 9 months and 1 day to pay the corporation tax and file the corporation tax return with the HM Revenue and Customs. Companies whose annual turnover does not exceed £ 5,600,000 may qualify for an Audit Exemption and are not required to file independently audited accounts and in such cases the directors must self-certify the accounts. At least two of the following criteria must be met to qualify as a small company:
  • annual turnover must be £ 5.6 million or less;
  • the balance sheet total must be £ 2.8 million or less;
  • The average number of employees must be 50 or fewer.
To qualify for total audit exemption, a company must
  • qualify as small (see above)
  • have a turnover of not more than £ 5.6 million; and
  • Have a balance sheet total of not more than £ 2.8 million.
VAT: A UK Limited Company must be registered when business turnover reached £67,000

Corporation Tax rate on net profits: 20% for the first £300,000, 30% when profit is above £1,000,000, there is a marginal relief rate for profit between the two figures.

Disclosure: The following information must appear legibly on all business letters, written orders, invoices, receipts and written demands for payment of a limited company: The Company's place of incorporation, Registration number, Company name, and Registered Office Address. The Directors' names do not have to appear, but if one Director's name appears (except in the text of a letter or as a signatory) then all Directors' names must be shown. This information must also be displayed in any premises where business is carried on and to which customers and suppliers have access.
